The V.P. and General Counsel is responsible for providing legal advice and recommendations for action to executives and management regarding matters of various complexities which have or may have a sizable dollar impact on business activities and operations. This position will have the primary legal responsibility for all M&A transactions for the organization.

Job Responsibilities:

Highly motivated self-started with demonstrated ability to work efficiently, meet demanding deadlines, and manage competing priorities in a fast-paced environment with minimal supervision.

Draft, review, and negotiate commercial contracts, with an emphasis on complex agreements including mergers and acquisitions, loan transactions, employment agreements, and vendor agreements.

Perform legal research and interpret federal and state laws, regulations, interpretive guidelines, advisory opinions and court cases on various healthcare-related statutory and regulatory topics, particularly related to dental insurance, dental insurance reimbursement, Medicaid, OSHA, and HIPAA.

Provide legal advice, opinions, and solutions regarding issues and risks in the areas of intellectual property protection.

Lead the company on HIPAA and cybersecurity compliance.

In depth understanding of health care and date privicy.

Strong understanding of regulatory and compliance matters related to Medicaid and HIPAA.

Understand of labor law and wage and hour compliance.

Ability to manage relationship with various outside counsels and law firms.

Collaborate with various levels of the organization when required.

Superior communication skills in both written and verbal presentation, including all aspects of legal writing technique and procedure, and the ability to convey complex legal concepts to non-lawyers.

Required Qualifications, Skills, and Knowledge:

Juris Doctor from an accredited law school.

Licensed to practice law.

Active bar membership in good standing in at least one U.S. jurisdiction.

5-10 years corporate legal practice experience.

Prior M&A experience required

Combination of in-house counsel experience and law firm experience preferred but not required.

Regulatory experience preferred.

Employment law experience preferred.

Proficient computer skills.

Ability to build positive relationships and partnerships across the organization - "Team Player".
