General Counsel

Your role

Are you an experienced US attorney with expertise in banking, regulatory, corporate governance and transactional matters? Would you like to lead a corporate and bank regulatory team, focused on supporting a critical and growing segment of a leading and dynamic wealth management business? Does the prospect of being an important part of a global financial services company and a global team excite you? We're looking for someone like that to:

– serve as a General Counsel of UBS Bank USA, an FDIC-insured depository institution with over USD 50 bn in assets

– support and advise bank management and its board (comprised of a majority of independent directors) on legal and regulatory matters

– manage UBS Bank USA Deputy General Counsels

– participate in Bank Board, Committee and management meetings

– review and provide counsel on strategic and new business initiatives

– support and advise the Chairman, senior management and the corporate secretary regarding Board and Committee meetings and materials

- collaborate with UBS internal and external counsel supporting UBS brokerage, advisory, asset management and investment banking activities

– provide legal advice and support relating to all contracts and agreements with affiliates and third parties

– provide legal advice and support relating to all transactional and product specific issues and matters (e.g. individual loan transactions, litigation matters, client agreements and forms)

– conduct periodic training on regulatory matters

– respond to ad hoc requests from internal and external sources, and work on other special projects involving U.S. banking and lending matters

Your team

You'll be reporting directly to the UBS Global Wealth Management US General Counsel, and matrix report to the UBS Bank USA Chief Executive. You will also partner with UBS second line functions (including Compliance and Risk).

Your expertise

You have:

– a dedicated team spirit and ability to interact and communicate with colleagues on all levels

– confident ability to advise and communicate effectively with senior management, members of the Board of Directors, and Regulators (including FDIC, OCC and Federal Reserve)

– at least 10 years of experience in bank regulatory matters

– a strong technical and practical understanding of US bank prudential regulation and supervision

– high integrity and the ability to think and work independently

– general corporate legal skills relating to corporate governance

– strong analytical skills and demonstration of thought leadership

– strong academic credentials and a current admission to the Bar
