General Counsel

POSITION: Senior General Counsel Starside Security & Investigation has an opening for In-house General Counsel to work out of its Corporate Headquarters in Diamond Bar, CA (Los Angeles County). This position reports to the Chief Operations Officer and The Executive Officer, and is responsible for the areas of Contracts, HR, Compliance, Securities, M & A/Asset Purchase, Asset Protection and Litigation. Responsibilities include, but are not limited to the following: Preparing and reviewing agreements of all types; marketing, consultant, service provider, NDA, service agreements, supplier and subcontract agreements & Working with the Director of Human Resources to ensure compliance with all labor laws in AZ, CA and FL

� Maintaining compliance with Sarbanes-Oxley Act of 2002 requirements

� Maintaining compliance with the Fair Credit Reporting Act

� Negotiate all potential deals through production of letters of intent and where appropriate the service agreements.

� Litigation management, defending Starside in and out of court

Successful candidates would have the following background attributes:

� Juris Doctorate earned from an ABA accredited institution

� A minimum of 5 to 7 consecutive years with a corporate legal department of a public or private company,

� Governmental agency or a major law firm.

� Excellent communication skills with both internal (senior management team and business line managers) and external parties

� Strong unquestioned integrity and a dedication to high quality performance standards

� Experience with high growth organizations and the challenges and opportunities they face

� Member of the California Bar (minimum 5 years)

� Multiple State Bars a strong plus Compensation will be based on experience.
