Essential Job Functions:

Develops and maintains banking relationships, including the management and negotiation of loan agreements.

Provides adequate credit facilities and banking services.

Provides risk management services, including procurement of insurance coverage, bonding facilities, and claims management.

Advise executives within High companies on legal matters. Research unique legal issues impacting High entities by identifying applicable statutes, judicial decisions and codes and provide training on substantive legal issues.

Acts as the liaison counsel for external lawyer interfaces; supervises and coordinates the work of outside lawyers.

Drafts and reviews contracts and related documents for the various entities. Trains Senior Management in contract review.

Reviews and amends contracts prior to submission of bids. Ensures that the necessary processes and procedures are in place and operating to provide discipline and quality control to contract execution.

Interfaces with Project Managers, Engineers, etc. to resolve various contractual issues.

Assists Management in operating in a manner that complies with all regulatory and Company legal requirements.

Anticipates and identifies legal issues and develops legal strategies and solutions.

Analyzes a broad range of complex laws and regulations, including, but not limited to, Federal and State laws affecting manufacturing, real estate, construction, and compliance.

Acts as first point of contact for litigation pursued against the Company, liaison with outside counsel, as needed. Prepare draft response documents.

Enhances professional growth and development through participation in seminars and workshops, maintains professional affiliations to keep abreast of developments in the law and precedent setting adverse judgments against employers.

Will serve on and may chair various company committees as appointed.

Promote the interests and favorable image of the High companies. Support and sustain the values of the High Philosophy.

Perform special assignments as directed.

Other important Information:

Graduate of an Accredited Law School; 10 to 15 years of prior experience required.

Juris Doctorate required. Pennsylvania licensed preferred.

Reports to the Chief Executive Officer for all General Counsel related matters. Reports to the Vice

President/Chief Financial Officer for all Treasury related matters.
