DESCRIPTION

Evolve Bank & Trust is seeking a banking attorney / General Counsel with strong academic and professional credentials that include a minimum of 5 years of experience at a major or regional law firm, an in-house legal department of a bank, financial institution, or a bank regulatory agency.

The ideal candidate will have regulatory experience and the ability to coordinate day-to-day legal matters at a bank. This individual will be located at Bank's headquarters in Memphis, TN. This position will report to the Chief Executive Officer and will collaborate with other executives and members of senior level management. This position will provide legal support for a growing commercial bank that conducts business nationwide. Bank specializes in commercial banking, mortgage banking, small business lending, trust services, equipment finance and leasing, cash management services and payment processing.

Summary of Essential Job Functions:

Working extensively with Bank's leadership team, Compliance Department, and Internal Auditor on compliance initiatives, FRB and state regulatory examination preparedness, and CFPB guidance;

Serving as a strategic legal partner to Bank's business divisions and corporate support departments

Working with Compliance Department to support and assist in their review and approval of marketing materials, to interpret regulatory laws, rules, and guidelines, and support, as needed, a robust compliance management program;

Support compliance initiatives by reporting on regulatory examination activity, developing regulatory issues, and trend analysis. This will include anticipating emerging risks and issues impacting the Bank and industry;

Research, interpret, and communicate laws and regulations;

Disseminate regulatory changes;

Litigation management and when applicable, working directly with Bank's outside law firm;

Draft, review, edit and assist in negotiating bank contracts, service and vendor agreements, confidentiality agreements, employment agreements, loan documents, real estate leases and as needed, other agreements;

Advising management on both federal and state banking laws and regulations, especially consumer laws and regulations;

Interacting with federal and state bank regulatory agencies;

Keeping informed on state and federal legislative and regulatory proposals that would affect the bank and its activities;

Tracking and summarizing legal developments, such as actions taken and guidance issued by the FRB, CFPB, and other regulatory agencies;

Advising management on regulatory matters relating to general bank operations as well as existing and new bank products and services;

Coordinating and working on various other legal projects.

POSITION REQUIREMENTS

Position Requirements:

Admitted to practice law in at least one U.S. jurisdiction and in good standing;

At least 5 years prior experience (preferably with a major law firm and bank although relevant financial services experience will be considered);

Excellent communication and written skills and ability to present a professional image;

Exceptional interpersonal skills, positive attitude, and ability to promote a team building atmosphere and strong chemistry throughout the company;

Strong familiarity with bank regulatory matters;

Experience reviewing, editing, negotiating and drafting contracts;

Demonstrated ability to provide counsel and guidance on matters ranging from complex legal questions or inquires to routine day-to-day legal matters;

Familiarity with consumer compliance and other regulatory and legal issues including but not limited to Reg B, Reg Z, FCRA, TCPA, BSA, CAN-SPAM, Dodd-Frank, GLB, and UDAAP;

Outstanding business judgement;

Ability to work in a corporate and entrepreneurial environment;

Commitment to professionalism and integrity;

Flexibility and willingness to work on a broad range of legal and general business matters;

Strong organizational skills with great attention to detail and strong work ethic;

Knowledge of consumer protection laws;

Applicable knowledge of banking and financial services industry;

Demonstrated experience in collaborating with others at all levels. Ability to interact successfully with a variety of business partners in the relevant business, legal, and technology teams to ensure that regulations are complied with and risks are mitigated;

High level of critical thinking including strategic thinking; and

Ability to multitask, prioritize, and meet strict deadlines.

Academic Requirements:

Four-year undergraduate degree;

Law degree;

Compensation:

Commensurate with experience (including base salary and a goals based bonus), health, retirement and other benefits, and a unique opportunity with a growing, client-focused and collegial company. A relocation package may be available.
