Reporting to the CEO, the General Counsel is the principal legal officer of the company with overall responsibility for the vision and leadership of Marlin’s legal strategy, services and compliance. As a member of the Strategic Leadership Team, the General Counsel will serve as legal counsel and strategic advisor to the Company’s executive team.

Essential Functions

Participate with the senior leadership team to develop Marlin’s strategy and long and short-term business plans.

Lead and develop a team of legal professionals.

Provide legal oversight at the executive level regarding the direction and operation of the company and its operating subsidiaries.

Key legal liaison with external counsel on major corporate transactions including acquisitions, mergers and joint ventures.

Provide legal advice and guidance on all SEC filings including Annual Reports on Form 10-K, Quarterly Reports on Form 10-Q, Proxy Statements, Form 8-Ks, Section 16 filings (as needed), company stock repurchases and insider trading.

Review quarterly earnings scripts, press releases and other communication messages from the Strategic Leadership Team.

Advise on all aspects of commercial relationships, including review, drafting and negotiation of contracts and complex commercial arrangements.

Drive compliance programs throughout the organization in keeping with best practices and Marlin’s compliance policies and programs.

Select and manage outside counsel as appropriate; negotiate favorable rates and fee arrangements; set legal budgets and track, manage and control legal spend, internal and external.

Serve as primary liaison with the Company’s regulators and examiners, external auditors and internal colleagues to provide exam due diligence deliverables in a timely fashion.

Interface with the Company’s board of directors on company governance matters and act as corporate secretary for all board meetings. Attend board committee meetings as required.

Assume the role of Director (and various officer positions) for subsidiaries of the company.

Develop and manage Marlin’s legal budget.

Procure and develop external legal resources to serve Marlin’s evolving legal requirements.

Requirements:

Juris Doctor (J.D.) degree and a member of the NJ and/or PA bar in good standing (preferably both) or ability to ascertain in-house counsel license from State of NJ within 6 months of hire.

Minimum of 15 years of experience in general corporate in-house legal function and/or law firm.

Legal experience supporting a publicly traded company and financial services industry experience within a regulated environment preferred.

Strong commercial, corporate and litigation management experience.

Demonstrated ability to balance legal and business considerations.

Executive presence with ability to inspire confidence and gain and hold trust of senior management, the board of directors and regulators.

Unquestioned integrity and excellent judgment.

Natural leader who knows how to motivate and develop people.

Strong organizational skills and work ethic, with ability to handle many complex issues simultaneously.

Excellent communication and collaboration skills.
