The General Counsel at OnLogic leads and collaborates in corporate strategic and tactical legal initiatives. Provides management with effective advice on company strategies and their implementation, manages legal affairs of the company, and obtains and oversees the work of outside counsel. The General Counsel is directly involved in complex business transactions, negotiating critical contracts, and in resolving and when necessary making or defending key claims on the company’s behalf. Participates in the definition and development of corporate policies, procedures and programs, and provides continuing counsel and guidance on legal matters and on legal implications of all matters.

What does your day look like?

Advise executives, managers and the Board on matters of legal compliance and risk to maintain compliance with applicable laws and regulations.

Structures and manages the company’s internal legal function, including growth plans, licensing, qualifications, contract creation, review, and execution and tracking.

Maintains a high level of expertise and active internal and external networks on key legal developments relevant to the computer hardware and technology sector, related intellectual property matters, Data Privacy, international trade, tariff and other areas relevant to global operations and supply chain, labor and employment law, contract, equity plans, compliance, risk, and other areas of critical to the company’s success, profitability, and strategic goals. Shares knowledge and perspective, and collaborates and leads in training and developing others in the company on these matters.

Oversee and manage all commercial insurance lines and coverage, including exploring additional potential lines of coverage or alternative risk management strategies, managing renewals and working with the CFO and other senior leaders to ensure adequacy of coverage or protection for foreseeable risk.

Work with the appropriate executives, managers and outside counsel when retained to set strategy, prosecute or defend claims and settle disputes where warranted.

Selects, oversees, and evaluates outside counsel.

Serve as Corporate Secretary and provide guidance on corporate governance, including equity plans and current and future business structures and legal entities.

Manage and direct all matters with respect to company intellectual property in coordination with senior leaders, including all matters related to compliance and protection of trademarks, patents, copyrights, trade secrets and the like.

Creates and manages business legal reports and correspondence, and effectively present information to senior management, project teams, and sales department.

Who we are looking for?

We are looking for an experienced General Counsel with an entrepreneurial mindset who has been working in the technology sector on intellectual property, Data Privacy, international trade, employment law, as well as demonstrated ability to negotiate critical business contracts that support the company’s success, profitability, and strategic goals.

You have a Juris Doctorate (JD) degree and have at least 5 years of corporate law or equivalent experience.

You are an entrepreneurial minded individual with a strong drive and desire to be part of a rapidly growing business.

You have a demonstrated ability to thrive in a fast paced work environment with shifting priorities.

You have a demonstrated ability to quickly and efficiently learn new processes.

You have excellent written and verbal communication skills.

You have active listening skills, and you have a demonstrated ability to hold yourself and others accountable.
