The General Counsel reports to the Chief Executive Officer and is responsible for providing legal support to all HRA business functions.

Essential Functions:

  • Provide seniors housing law and healthcare compliance-related legal support for HRA.
  • Serves as key lawyer to the legal department’s transaction support for business development.
  • Draft and negotiate corporate transaction documents, including merger and other purchase sale agreements, disclosure schedules, preferred and common stock terms and limited liability company agreements.
  • Coordinate due diligence investigations and preparation of legal due diligence reports.
  • Manage filing and storage of HRA agreements and legal documents
  • Provide legal advice to corporate officers, board members, and other organizational constituents on corporate governance, corporate transactions, regulatory compliance, and litigation/dispute resolution.
  • Ensure all concerns and reports of violations throughout HRA are investigated and resolved.
  • Manage outside counsel.
  • Assist in company licenses and business registrations with various states.
  • Routine duties are performed with minimal supervision.

Non-Essential Functions:

  • Is prompt and able to perform the required duties of the position on a regular, predictable basis
  • Becomes familiar and understands how to report a missing person using the Safe Return program or equivalent

Qualifications/Skills/Educational Requirements:

  • Must have a Juris Doctor (JD) degree from an accredited law school
  • Minimum of seven years-experience in a healthcare or real estate legal department or law firm
  • Knowledge of healthcare laws, real estate transactions, compliance laws and regulations
  • Understand governance, compliance, regulatory environments and litigation in a healthcare environment
  • Excellent organizational skills, strong oral and written communication skills, and will be able to work in a high paced, timeline driven corporate office setting
  • Strong leadership skills
  • Experience using Microsoft Office and Outlook software. Basic typing skills required
  • Able to communicate effectively with all levels of management, associates, residents, family members, state regulatory agencies, hospitals, and outside contacts
  • Knowledge of current Federal and State laws pertaining to assisted living and/or memory care communities
  • Must meet all state health requirements
  • Able to make independent decisions
  • Must possess a passion to work with and around senior citizens
