General Counsel

The General Counsel will handle a broad range of responsibilities including fund formation and compliance, general commercial activities, employment law, support for investment transactions and structures, and various portfolio company matters for a rapidly scaling international investment firm. The work encompasses structuring, transactional, contractual and litigation matters and requires solid drafting and confident negotiation skills.

Reporting to the COO, the General Counsel is the principal legal officer of the company, with overall responsibility for the vision and leadership of B Capital Group’s global legal and compliance strategy and the management of legal risk throughout the organization. As a member of B Capital Group’s senior management team, the General Counsel will serve as legal counsel and strategic advisor to the Company’s General Partner Advisory Board (GPAB).

This position is in our Manhattan Beach (Los Angeles), CA office.

Duties & Responsibilities:

Oversight and leadership of the day-to-day operations of legal representation of the Company. Broad range of legal responsibilities will include fund operations and compliance, fund formation, portfolio investment transactions including reviewing, drafting and negotiating term sheets, and purchase and sale agreements. Given global nature of B Capital, this will include managing U.S. and foreign outside counsel relationships.

Following and providing analysis of relevant litigation, regulatory and market developments. Participating as a senior member of management, working directly with the Partners to understand strategic initiatives and business needs, providing legal and business counsel, and establishing and influencing appropriate ethical standards and legal considerations.

Supporting the Human Resource team on global employment matters to ensure regulatory compliance.

Maintaining responsibility for and managing all aspects of the ethics and corporate compliance function including drafting and implementation of compliance policies and procedures. Overseeing compliance with international securities law.

Advise GPAB on corporate governance and Fund formation, including Limited Partner Advisory Boards.

Summarizing key legal concepts in a manner that is understandable and useful to non-lawyers.

Desired Qualifications:

J.D. from a top law school and Member of California or other state bar in good standing.

10+ years of legal experience, with work on complicated issues and experience advising decision makers in high-stakes matters.

Successful legal career track record including experience working in the private equity industry or private equity owned companies

Familiarity with SEC regulations

REPORTING RELATIONSHIP:

The General Counsel will report to the Chief Operating Officer who is based in Manhattan Beach, California.
