General Counsel Job Description

The General Counsel will report to the President and Chief Executive Officer and serve as chief legal counsel for the organization. The successful candidate must support the mission, vision, and values of Catholic Charities.

Responsibilities

Advise the various programs and departments on legal issues and risk mitigation strategies.

Review and assist in the negotiation of contracts, including grants, service agreements, non-disclosure agreements, memoranda of understanding and third party agreements with vendors and partners.

Assist the President/CEO with complex or sensitive issues facing the organization while effectively and efficiently utilizing resources such as administrative personnel, outside counsel or experts, if required.

Oversee the St. Frances Cabrini Center for Immigrant Legal Assistance.

Provide support for corporate governance matters, including meeting preparation for the Board of Directors and its committees, drafting governance documents and advising as to governance considerations in the conduct of the organization’s business.

Provide direct staff support to the Legal and Risk Management Committee of the Board of Directors.

Work with the senior leadership team in implementing and improving on organization-wide policies aimed at risk-reduction.

Provide training to program and administrative leaders as needed.

Retain and manage outside counsel.

Manage various other legal projects and duties as required.

Support the mission, vision and values of Catholic Charities.

Qualifications

Requirements

Juris Doctor from American Bar Association accredited law school.

License to practice law in Texas.

Understanding of, and must support the doctrines of, the Catholic Church to prevent doctrinal conflicts in the charitable work performed by Catholic Charities. To this end, current, active participation as a member of a Catholic congregation is preferred.

Minimum ten years’ experience, in-house or outside practice of law, in general corporate or non-profit matters.

Experience in government grant management, immigration, and employment law a plus.
