Basic Purpose: Develop and leads corporate legal and compliance programs. Responsible for development and oversight of all policies, procedures and training as is relates to the Legal and Compliance department.

Primary Job Responsibilities:

Acts as the legal advisor to the chief executive officer, board of directors, and other company management; heads the corporate legal department and is responsible for the legal affairs of the corporation. Analyzes, advises, and handles legal issues arising in all functional areas. Departmental responsibilities include setting operational and budgetary goals and objectives, managing and coaching department personnel; manages outside counsel, and developing strategy for litigation and regulatory proceedings.

Monitors, analyzes, and advises the company and management on a broad range of federal and state regulatory matters. This includes the evaluation of new ventures, products or regulations; negotiation of contracts with vendors, providers, groups and individual dental and vision plans;

Identifying, monitoring and tracking areas of risk as oversight of the organization's enterprise risk management program and making suggestions for managing such risk, and advising the Board of Directors and management on developments and best practices in corporate governance.

Acts as Corporate Compliance Officer. Primary responsibility for overseeing compliance within the organization, and ensuring compliance with applicable state and federal laws, regulatory requirements, policies and procedures, including Arkansas health insurance law, ERISA, ACA, Medicaid and Medicare Advantage . As the compliance leader and subject matter expert, this position is responsible for establishing standards and implementing procedures to ensure that the compliance programs throughout the organization are effective and efficient in identifying, preventing, detecting and correcting noncompliance with applicable laws and regulations, including ensuring appropriate training of staff, Board, and others as necessary. Advises senior management and the Board in regards to the company complying with all regulatory requirements.

Ensures DDAR's compliance with association rules of Delta Dental Plans Association (DDPA) and serve as Compliance contact.

Acts as the HIPAA privacy compliance officer and is responsible for monitoring the regulatory requirements under the HIPAA law, creating HIPAA privacy programs, and introducing policies and staff training promoting compliance; handles investigations of potential privacy violations as necessary.

Oversees state regulatory filings.

Works with CFO to ensure compliance with fraud laws in all states and its insurer clients and serves as compliance liaison with large clients of DDAR.

Handles Department of Insurance issues including responding to regulatory questions, consumer inquiries and market conduct requests;

Monitors, evaluates, reports, and advises on legislation and regulatory activity.

Perform other related assigned duties as necessary to complete the Primary Job Responsibilities as described above.

Requirements

Minimum Qualifications: Position requires a J.D. degree, admission to a state bar and in good standing and at least seven years of legal experience (including compliance), three years of experience in a managerial or leadership role. Will accept any suitable combination of education, training or experience.

Position requires strong knowledge of corporate and regulatory law, including regulation of insurance entities, health and benefit law, healthcare exchange law, Medicaid, and Medicare Advantage; ability to resolve highly complex problems and direct matters of a strategic nature; strong communication skills; self direction; and independent judgment.
