Job Description:

General Duties:

Provide legal counsel and support to all U.S. and international Q&C business teams to ensure legal compliance and the mitigation of risk in all business endeavors.

Provide legal support to all business functions including, but not limited to, the global IT Department, Finance, SIOP, Procurement, EH&S, Product stewardship, and EHS.

Responsible for all data privacy and intellectual property legal matters including patents and trademarks;

Serve as a member of the senior leadership team.

Corporate Affairs:

Responsible for all corporate legal filings for Q&C businesses in U.S. and internationally.

Provide legal advice and support on corporate organizational structures, antitrust, mergers & acquisitions, and joint ventures.

Retention of all corporate business records;

Creation and enforcement of Records Retention Policy;

Creation and enforcement of Legal Compliance Policy Manual.

Contracts:

Drafting and negotiating various commercial contracts including, but limited to, sourcing agreements, supply contracts, distribution agreements, rebate and lease agreements.

Human Resources:

Advise on Employment and Labor Law matters in U.S., China, Japan, and Germany;

Provide legal advice on all U.S. union and German Works Council matters.

General Management:

Recruit and manage a world class legal team of in-house professionals, and manage outside law firms.
