We are seeking a passionate, seasoned CFO/GC to join our fast-growing team. Our ideal candidate is excited by the prospect of rolling up their sleeves and working closely with the CEO, board, and sales team of a fast moving startup. This role would lead both the finance and legal departments of our organization.

FINANCIAL RESPONSIBILITIES
Direct all aspects of finance and accounting operations
Lead existing members of the finance, accounting and HR team
Oversee the transaction processing system and implement best practices
Manage the process of the timely issuance of monthly, quarterly, and annual reports
Evaluate and report financial results to management and board of directors
Manage tax planning, preparation, and compliance
Build and maintain financial models used to inform business decisions
Develop performance measures that support the company's strategic direction and reviews financial results with respect to profits, trends, costs and compliance with budgets
Drive the financial planning process with an understanding of the companys future growth plans while ensuring cash flow is appropriate to meet the needs of the company
Assist in the financial modeling necessary for fundraising plans
Manage capital needs and budgeting process
Work with other team members to understand revenue and cost drivers and define appropriate reports for tracking
Develop and coordinate relationships with lending/financial institutions.
Present financial analysis to board
Assist with due diligence and negotiations for new business opportunities and acquisitions
Monitor cash balances and forecasts
Manage relationships with insurance providers and ensure compliance
Ensure that accounting policies and systems, including general ledger and financial reporting comply with GAAP and any other applicable legal or regulatory requirements
Build FP&A and accounting departments as the company grows
Issue regular status and ad hoc reports to senior management
Other finance and administrative duties as required
GENERAL COUNSEL RESPONSIBILITIES
Serve as lead lawyer/legal advisor on all major business transactions, including acquisitions, divestitures and joint ventures
Assume ultimate responsibility for ensuring that the company conducts its business in compliance with applicable SEC et al. laws and regulations
Advise on legal aspects of the company's financing, business structures, and legal entities (domestic and international)
Provide proactive, timely, high-quality analysis and pragmatic advice on legal and business issues
Participate in the definition and development of corporate policies, procedures, and programs
Lead and organize the Company's internal legal function and staff
Oversee the selection, retention, management, and evaluation of outside counsel
Provide expert and strategic legal advice to management
Set internal governance policies and manage the impact of external factors
Identify proactive solutions that will eliminate or mitigate risks
Support the Human Resource Department on employment matters
Provide employee training on issues related to employment and contract law and compliance
Maintain legal files and set up process and systems for contract administration and compliance
PRIMARY QUALIFICATIONS
5+ years of experience in the legal field, preferably working in the startup tech space
5+ years of managerial accounting and financial management experience
Startup experience, able to work with and help grow small teams
Experience scaling a finance operation from profitable startup to at least $50 million in annual revenues
Experience opening international locations and/or working with international clients, specifically in Asia and Europe
Excellent oral and written communication skills
High degree of professional ethics, integrity and gravitas
J.D. degree preferred
Bachelor's degree in Accounting, Finance or Business. CPA and/or CMA preferred but not required
