Americann Made LLC is an investment and consulting company that has extensive experience in all areas of the legal cannabis industry. Headquartered in Los Angeles with offices in San Diego & Desert Hot Springs, we have developed world-class facilities and vertically-integrated businesses for the production, manufacturing, distribution and sale of medicinal and adult-use cannabis. In recent years, Americann Made has expanded it services to provide branding, consulting and management services to cannabis entrepreneurs, operators, and investors throughout the US. We are now looking to add in-house counsel to our team to facilitate the company’s continued growth.

Position Summary:

The ideal candidate will provide guidance on the following: (i) commercial transactional matters (e.g., contracts, leases, intellectual property, etc.); (ii) advise and support merger and acquisition projects; (iv) coordinate with external counsel and auditors; and (v) advise on legal and regulatory compliance for cannabis operations.

Job Responsibilities:

Serve as in-house counsel to the company.
Manage all legal affairs including outside legal services provided to the company.
Support, document, and facilitate all mergers and acquisitions, joint ventures and partnerships.
Review, advise and draft a variety of business transactions, including but not limited to basic contracts, leases, joint ventures, licensing agreement, consulting agreement and real estate documents.
Manage and prepare corporate governance documents.
Advise the executive team on the latest regulations and laws.
Advise company on the various legal risks, business strategies, and other issues related to commercial transactions and general operations. Design and implement a robust and comprehensive audit and reporting function and manage an independent audit and review process for the Company, including audit reviews of third-party vendors and service providers.
Administration and resolution of legal issues that arise in existing commercial relationships.
Represent the company in communications with local and state regulatory bodies and enforcement agencies.

Skills & Qualifications:

JD from an ABA accredited law school and admission to the CA bar.
5 years professional experience as a corporate transactional attorney, regulatory compliance work and/or in-house experience is a plus.
Experience creating and supporting legal processes, standard operating procedures, and internal controls.
Demonstrates excellent legal and business judgment and strategic thinking with the ability to work diligently, efficiently and independently.
Strong organizational skills and the ability to manage several simultaneous projects under deadline pressure.
Excellent oral, written, and interpersonal skills.
Demonstrates the ability to work collaboratively with all employees and other key stakeholders. Experience working in a cross-department, cross-functional role preferred.
Able to travel when needed (< 25%), the majority of which will be within Southern California.
