Anne Arundel Medical Center and Doctors Community Hospital have joined together to create a new, soon to be named Maryland healthcare system. We are looking for an experienced healthcare attorney to lead a new in-house legal department. The Chief Legal Officer will oversee all legal matters related to the growing system. Key responsibilities include:

Provides legal advice, guidance and representation on all matters including; governance, regulatory, policy, advocacy and compliance
Will guide and support all transactions and new business development including joint ventures, mergers and acquisitions
Works in partnership with multiple departments including compliance, HR, supply chain, medical staff office and risk.
Selects and oversees outside counsel
Provides business and legal perspective and advice on a wide range of strategic, tactical and operational issues.
Advise and direct C-Suite and Boards on healthcare regulatory matters.

Position Objective:

The Chief Legal Officer is responsible for leading Greater Maryland Health System (“GMHS”) in its strategic and tactical legal initiatives. The Chief Legal Officer serves the GMHS system and all its entities. Oversees all legal matters related to the entities, and either personally or through employed or contracted attorneys and other staff, performs the essential functions below.

Provides legal advice, guidance, and representation to GMHS and its related entities with respect to business, transactional, governance, regulatory, policy, advocacy, and compliance matters. Relevant areas of law include, but are not limited to, corporate law, mergers and acquisitions, governance, joint ventures, regulatory matters, employment matters, fraud and abuse, HIPAA, provider-payor contracts, real estate matters, insurance related matters, medical malpractice, intellectual property, employment and risk management issues.
Manages GMHS’s involvement in litigation or administrative proceedings as a party or amicus curiae. Draft, review, and/or negotiate documents including filings, provider agreements, subscriber contracts, regulatory filings, applications and correspondence.
Drafting, reviewing and negotiating contracts with respect to clinical network development, including affiliation and joint venture agreements.
Responding to request for legal advice from persons throughout GMHS on a variety of issues.
Advising the Medical Staff leadership on matters of governance and credentialing.
Serving as key lawyer/legal advisor on all major business transactions, including acquisitions, divestitures and joint ventures.
Assuming ultimate responsibility for ensuring that GMHS conducts its business in compliance with applicable laws and regulations.
Provides legal guidance to GMHS leadership and Board of Trustees related to corporate governance.
Develops, maintains and updates corporate documents, including articles, bylaws, policies, licenses, corporate minutes, regulatory filings, and contracts.
Selects and supervises outside counsel to carry out any of the responsibilities of the general counsel.
Provides business and legal perspective and advice on a wide range of strategic, tactical and operational issues to the GMHS. Advise and direct C-Suite and Boards on healthcare regulatory matters that arise, not limited to fraud and abuse laws, HIPAA, HITECH and licensure, to minimize risk and expense to the GMHS while meeting business objectives.
Partner with the executive team and ensure the success of strategic objectives and recommend improvements in business process.
Position provides guidance and support to multiple departments including, but not limited to compliance and risk; medical ethics; supply chain; medical staff office; and human resources.
Interpret existing contracts and advise on patient and third-party relationship disputes or issues.
Monitor and maintain knowledge of current trends in the healthcare industry and pursue ongoing professional development to maintain current knowledge on best practices.
Anticipate and identify legal issues of concern to management and proactively develop effective legal strategies and practical solutions.
Keeps abreast of trends in the healthcare industry and medical group management by active participation in industry and relationships with industry peers. Monitors changes in the field to ensure that GMHS maintains a market leading position.
Represents the entities with the highest level of integrity, forthrightness and professionalism. Maintains public relations efforts on behalf of our clients.
Performs other duties and projects as assigned by CEO/President.

Educational/Experience Requirements:

Juris Doctorate
Minimum of eight (8) years of experience, preferably advising complex hospitals or health systems, or other types of health care providers.
Health care compliance experience.
Ability to work collaboratively and productively with senior management to evaluate and meet GMHS’s legal needs, and to help GMHS achieve business objectives.
Excellent speaking and writing skills, including the ability to clearly describe complex issues.
Ability to exercise judgment and diplomacy while addressing sensitive or challenging issues with internal or external stakeholders.
Ability to think creatively and strategically.
Proven ability to work well with senior operating executives, leveraging strong intellectual, conceptual and analytical skills
Effective leadership, facilitation, and interpersonal skills.
Ability to handle multiple competing demands and delegate appropriately
Required License/Certifications:

Licensed to practice in Maryland.
