Blarney Ventures’ General Counsel is responsible for structuring, drafting, and negotiating all agreements across BVs portfolio, with a focus on our unique inbound, outbound, and sales practices. The GC supports key initiatives and business activities for all companies, which includes development, implementation, and management of client contracts, vendor agreements, and all other legal needs covering a wide array of products and services and compliance requirements across their unique business.  

Responsibilities:

  • This role is responsible for all day to day legal matters affecting Blarney Ventures and its subsidiaries.

  • Full ownership of all client contracts. Negotiate, draft, and implement all client agreements; partner internally and externally to ensure privacy, intellectual property, and compliance provisions are consistent with BV’s and client’s best practices and positions.

  • Interact with clients on a regular basis to resolve questions related to all contractual obligations.

  • Maintain legal document library. Design and implement process improvements, including creation of and/or updates of legal templates and playbooks.

  • Approve and oversee all contracts and agreements in portfolio related to vendors, suppliers, landlords, etc.

  • Oversee corporate governance of all current and future entities.

Additionally, this role may be asked to:

  • Work with the Vice President of Finance on matters related to client collections &/or issues which may arise related to the LLC structures and parent-subsidiary complexities.

  • Work with Director of Talent to assist in managing and advising on HR and labor issues; assist on immigration/visa applications and issues.

  • Work with other team members as necessary as a member of the leadership team.

Required Skills/Experience:

  • 5+ years of substantive practice experience, either at a reputable business-focused law firm, through previous in-house legal experience, or both, preferably with an emphasis on marketing and sales providers.

  • Demonstrated expertise and real-world experience with:

    • Corporate formation and governance;

    • Contract drafting and negotiation;

    • Privacy law (including applicability to sales and marketing firms via CAN-SPAM compliance, GDPR, Information Security Policies, and HIPAA/FDA considerations).

  • Experience and exposure to multiple industries, with a preferred focus on hardware, SaaS, fintech, medtech, enterprise business, and consumer goods.

  • Familiarity with labor law, FLSA/PFML compliance, and multi state employees.

  • Law degree from a reputable university, admitted in good standing with license to practice in the State of Massachusetts. 

  • The ability to provide clear, practical advice to non-legal team members on a variety of legal and business issues on short timelines, preferably in an entrepreneurial environment.

  • Ability to organize, prioritize, and manage deadlines in a fast-paced and demanding work environment.

  • Ability to maintain strong working relationships with internal stakeholders and external clients and partners.

  • Desire to thrive in a dynamic, fast-paced, and ever-changing environment.

  • Must be able to independently set priorities and drive results.
