Position Summary
This position is based at InterDigital’s worldwide headquarters in Wilmington, Delaware (part of the greater Philadelphia metropolitan region), and could entail occasional travel to other InterDigital offices, including: Conshohocken, Pennsylvania; Princeton, New Jersey; Melville, New York; San Diego, California; and Paris and Rennes, France. The successful candidate will join a dynamic and respected legal department with over 100 members and manage a team of approximately 10 direct and indirect reports responsible for handling all legal matters except patents, litigation, and government affairs, including: securities, M&A, corporate governance, patent and technology licensing, joint ventures, labor and employment, compliance, antitrust, marketing and other external communications, real estate and other corporate, commercial and transactional legal matters. This position will report directly to the CLO.

Responsibilities

Management of Corporate/Transactional Legal Teams
o Manage internal team of approximately 10 direct and indirect reports responsible for handling all corporate, commercial and transactional legal matters
o Serve as a mentor to and guide the professional development of direct reports; develop and maintain succession plan for position of Vice President, Deputy General Counsel
o Manage external counsel providing support for corporate, commercial and transactional legal matters
o Manage budget for internal and external spend in support of corporate, commercial and transactional legal matters

M&A and Joint Ventures
o Working closely with the company’s management team, including the CEO, CFO and Chief Development Officer (CDO), serve as lead negotiator for transformative or otherwise significant M&A transactions
o Oversee legal support for all acquisitions and divestitures by the company and the company’s participation in joint ventures

Compliance
o Working closely with the CLO and Chief Administrative Officer (CAO), help maintain and enforce the company’s compliance and ethics program
o Ensure the efficacy and efficiency of the company’s internal policies and procedures relating to compliance and ethics

Corporate Governance
o Working closely with the CLO, help advise and otherwise provide support to the company’s board of directors
o Oversee the company’s corporate legal structure

Department Management, Legal Operations, and M&A Integration
o Working closely with the CLO and Director of Legal Operations, help manage the company’s legal department
o Oversee the design and execution of integration plans for all corporate and transactional legal functions

Required Experience
The successful candidate will have at least 15 years of directly relevant legal and management experience, including within a large corporate legal department. They will have experience serving as the deputy general counsel or the general counsel of a publicly traded company. The ideal candidate will have experience advising companies in the technology industry or other IP-intensive businesses.

Educational/Professional Requirements
• Bachelor’s degree or equivalent plus JD
• Law degree from top-tier law school preferred
• Current state bar membership
• 15+ years related experience at a law firm and/or in a corporate law department
• Experience serving as the deputy general counsel or general counsel of a publicly traded company
• Experience advising multinational corporations
• Experience with matters related to intellectual property rights (IPR), particularly patents, preferred
