SUMMARY: The VP & General Counsel oversees all legal matters for the corporation, including board governance matters (e.g., compliance with bylaws, board policies, and resolutions, and preparation of board minutes), ethics, open door, and public records issues, negotiation and oversight of all contracts, compliance and litigation matters. The VP & General Counsel manages outside counsel and oversees and is responsible for the efficient operation of the Legal and the Account Management departments.

Examples of Essential Functions:

Serves as a member of the Leadership Team, which includes the Executive Team and Vice Presidents.
Advises the Executive Team, Vice Presidents, and others on legal matters.
Responsible for negotiating, writing, reviewing, and summarizing IEDC transactions.
Provides counsel concerning compliance with federal and state law.
Responsible for providing legal representation for all public information requests.
Designated Ethics Officer by the Secretary of Commerce for the IEDC.
Serves as Secretary to the Board of Directors and is responsible for Open Door Law compliance for all public meetings.
The VP & General Counsel oversees the Legal and Account Management departments.
Manages outside counsel when engaged by the corporation.
Skilled in organizational development, personnel management, and managing a budget.
Possess personal qualities of integrity, credibility and commitment to the corporation.

Qualifications*:

Education:

Juris Doctorate (J.D.) degree required
Experience:

Minimum of six years’ experience
Communicates very effectively orally and in writing required
Prior government and private law firm experience strongly preferred
Ability to:

Provide executive-level briefings of legal issues
Give valuable advice in planning transactions or making executive decisions
Multi-task and work effectively under pressure
Interpret and apply provisions of the state and federal law affecting the economic development programs
Understand corporate structure and policy making processes
Well rounded understanding of legal matters that deal with economic development and contracts
