Summary

  • Ensures the safety and soundness of the Credit Union as it relates to legal and compliance issues to include state and federal regulations. Establishes and implements effective compliance and risk programs to prevent illegal, unethical, or improper conduct and minimize risk.  Serves as the primary contact for all escalated audit, legal and compliance issues and contract and/or lease reviews.

Key Responsibilities

  • Provides oversight and direction to staff including hiring; communicating expectations; planning, monitoring and evaluating performance; coaching, counseling and developing employees; recommending compensation actions, and coordinating and enforcing systems, policies and procedures.
  • Acts as a Corporate Compliance Officer leading the implementation and administration of the Compliance Program to mitigate compliance and reputation risk.
  • Oversees and develops the strategic risk management plans and initiatives within the Credit Union and advises the Senior Leadership of pending legislation and current legal and regulatory issues that will impact the Credit Union, providing sound legal advice to the Executive Team and other departments.
  • Serves as the primary liaison between Credit Union management and the Board of Director’s Supervisory Committee.  Attends Board of Director’s Supervisory Committee meetings as required.
  • Manages and develops comprehensive processes for assessing, identifying, monitoring and reducing business risks that could impede the Credit Union’s objectives and goals, while minimizing duplication and maximizing efficiency.
  • Collaborates with Department Heads on Credit Union marketing, disclosures, new products and services, policies and procedures to ensure they are aligned with regulations, legal requirements and trends.
  • Interacts with regulatory examiners and outside auditors to ensure timely response and resolution to audit findings and other recommendations.
  • Prepares and/or reviews all legal documents related to the Credit Union including but not limited to the purchase, lease or sale of goods, services agreements and professional services, mergers, leases and contractual agreements.  Serves as Credit Union legal liaison with other outside Counsel when outside expertise in a specific area is needed.
  • Credit Union liaison and oversight for Credit Union corporate bond.
  • Reviews and provides legal support when necessary for  member related legal documents to include but not limited to legal mortgage and real estate documents, court orders, operating agreements, subpoenas, trusts, powers of attorney and levies to include analysis and advice to appropriate business unit
  • Is responsible for adhering to operational controls, including compliance with all required regulations and policies such as the Bank Secrecy Act (BSA) and Office of Foreign Assets Control (OFAC) to ensure the safety and soundness of the Franklin Mint Federal Credit Union and its members.

Qualifications

Education/Experience

  • Bachelor's degree and Law degree from accredited institutions.
  • A minimum of seven (7) years’ experience as an attorney. Admitted to practice in Pennsylvania or ability to be admitted.
  • Significant experience in specialized area of law relevant to financial institutions, e.g. regulatory compliance, administrative law, litigation, mortgage real estate law, collections & bankruptcy, contract law, etc.
  • Compliance Certification by nationally recognizable trade organization or ability to obtain within six (6) months.
