Position Overview
 

As general counsel you will provide legal and practical advice to the Chief Administrative Officer, Chief Financial Officer, President, and CEO.  You will also advise department heads and address the full array of legal problems that arise in a mid-sized business (e.g., reconciling differences between departments, personnel issues, employment agreements, dispute resolution, insurance, liability, etc.).  You will supervise and draw upon the expertise and advice of a talented team of lawyers.

From time to time, the position will demand a willingness to work long hours and deal with urgent issues on short notice.

What you will work on
What you will do:

You will supervise – and be supported by -- a team of four lawyers.  One senior lawyer is dedicated to patents, trademarks and other intellectual property issues (including developing strategies for commercializing IP).  A second senior lawyer brings experience in contracting and in the regulatory matters that directly affect DrFirst (HIPAA, Anti-Kickback, TCPA).  He also supervises two junior lawyers whose primary responsibilities include routine contracting, legal research, and monitoring developments in the law that may affect DrFirst.  The legal department employs two non-lawyers, one of whom has long experience in contract review and the other who assists in administration and entry-level contract review.   You should expect to work closely with the legal department staff, seek the advice of the senior lawyers, and take advantage of existing expertise.
In collaboration with your legal department colleagues, you will manage relationships with outside counsel when special expertise is required.  This involves selection of the right experts, supervising their work to ensure that it is efficient and useful, and building relationships of trust and confidence.
You will be expected to become familiar with all aspects of the Company’s business and to be alert to potential internal conflicts and potential legal issues that may affect Company initiatives.
Your direct supervisor will be the CAO. You will also deal frequently with the CFO and various department heads.  Less frequently, but on a regular basis, you will be expected to advise and collaborate with the President and the CEO.  You will brief the Board of Directors when major issues face the company.
You will address strategic partnership transactions as well as day-to-day corporate legal issues.
You will advise on corporate governance issues.
Your advice and counsel will be sought on potential outside investments in the Company and on potential merger and acquisition transactions.  This will require at least some familiarity with the principles and issues involved in these transactions, but the company is seeking a general counsel and not a narrow specialist.
Qualifications
 

What you should have done and What you bring:

Juris Doctor degree
Admission to at least one state (or D.C.) bar
At least 15 years of legal experience, in positions of responsibility, with work on complicated issues and experience advising decision makers in high-stakes matters.
Experience in the health care industry, preferably in health care IT.
