As a key member of the Executive Leadership team, the General Counsel advises the Company's senior management and its Board of Directors regarding the Company's operational and strategic initiatives. S/he will manage a team of ~8, including ~4 lawyers.

The General Counsel will lead and manage the Company's legal function, and will be responsible for: 


*Providing advice and service by combining experience with sound business acumen and knowledge of business goals and objectives, to the Executive Team and Board of Directors on all legal, legislative and regulatory matters.
*Managing the preparation of the Company's SEC and NASDAQ filings and general public disclosures.
*Advising business leaders on commercial transactions, client, vendor and transportation provider contracting, contract compliance, client audits, intellectual property management and protection, data privacy, employment law, ethics, legal compliance, litigation strategy, and risk-management assessments to limit liability.
*Providing legal counsel on all merger and acquisition activities, including all pre-transaction documents and due diligence, purchase agreements, closing documentation, and all transition related matters.
*Supervising response to government audits and investigations.
*Supervising litigation; providing legal guidance and advice in the evaluation of legal risk and prevention or mitigation of legal exposure for the organization, including recommending and retaining outside counsel.
*Coordinating Board meetings and preparation of Board materials, and overseeing corporate governance matters.
*Interpreting federal and state laws and regulations relevant to Company business, and providing related legal advice and training to employees and Board Members.
*Reviewing and approving corporate policies, procedures, and public-facing documents.
*Reviewing Company responses to RFPs for legal compliance and strategic considerations. Managing the company's internal legal function and staff.
*Ensuring that the Company is operated and managed in accordance with all applicable laws and regulations.

Qualifications & Expertise
The ideal candidate will be a corporate counsel with:
*Legal Experience: Juris Doctor, admitted to the Bar with 10+ years of post J.D. experience, including training in a well-respected law firm, combined with in-house public company experience, ideally at the General Counsel level.
*Public Company Experience: Familiarity with SEC and exchange rules and practices, including reporting and governance requirements.
*Management Experience: Proven leadership skills and a demonstrated, collegial approach to management. Excellent interpersonal, communication, organizational, and analytical skills with strong attention to detail and a flexible style. An ability to translate complex legal and business issues in terms readily understandable to a broad audience.
*Transactional Experience: Ability to support complex business transactions and negotiate critical contracts.
*Industry Experience: A background in healthcare or government contracting, or state procurement would be a plus but is not required.
