General Counsel

Proficio, Inc. seeks an experienced attorney for its in-house legal department in Carlsbad, California. We are looking for a specialized Corporate attorney to serve as an in-house counsel and handle all complex legal matters and projects. You will ensure the legality of commercial transactions, advise our company on legal rights and duties and limit risk exposure.

Consult and handle all corporate legal matters (e.g. intellectual property, mergers & acquisitions, financial/securities offerings, compliance issues, transactions, contractual agreements, lawsuits, trademark/patents).
Develop company policy and position on legal issues.
Research, anticipate and guard company against legal risks.
Guide managers and ensure compliance with rules and regulations.
Structure, draft and review reports and other legal documents.
Represent company in legal proceedings (administrative boards).
Draft, review, negotiate and administer all contracts to minimize risks and maximize legal rights.
Negotiate deals and attend company meetings.
REQUIREMENTS
Proven comparable legal experience in a corporate setting.
5+ years prior experience, preferably in a transactional-focused in-house practice with an Information Technology business.
Proven background in corporate law (corporate formation and governance, contract law, tax law, accounting, litigation, International business law, securities law, bankruptcy, intellectual property rights, licensing, zoning laws).
Excellent negotiation and communications skills.
Administrative and managerial skills.
Analytical ability and strong attention to detail.
Computer skills.
Current license to practice law in the State of CA.
Juris Doctorate degree.
Experience with SOCII compliance will be considered an asset.
