General Counsel

Your Mission:

Establish Advantia as the preeminent provider of women’s healthcare in the nation by being accountable for advising on legal functions, including helping to implement business and legal strategies.

How You’ll Do It:

Negotiate and draft Company Agreements, including commercial and financial transactions, customer agreements, distribution partner agreements, employment and consulting agreements, and other company agreements; provide communication and advice with respect to the company’s requirements and obligations under its agreements with investors, partners, employees and vendors; maintain and track company agreements; develop forms and samples for standard company agreements; manage access to company records
Manage and implement Corporate Governance activities, including corporate secretary functions and corporate compliance for the Board of Directors; manage stockholder compliance; ensure company’s receipt of all required approvals, provision of required notices, and compliance with applicable corporate documents; maintain corporate records
Manage Compliance efforts with all applicable laws and regulations with the support of the Chief Compliance Officer and outside compliance counsel, including research, review and analyze applicable laws and regulations with special attention to healthcare related laws such as HIPAA, Stark and Anti-Kickback; advise business units and management on requirements of applicable laws and potential workarounds as needed
Execute and manage Litigation and Risk Management, including intellectual property protection, privacy compliance, employee legal matters; threatened and actual litigation or other legal proceedings
Actively participate in Corporate Development; advise on deal structure; draft and manage deal documents; participate in negotiations
Manage and oversee the reporting of legal activity metrics

You will be joining our team in our Rosslyn, VA office. Everything we do is connected, but we each have different roles. We are a start-up. All hands and minds are needed. That means we need you to be a leader and executor.

This is a senior leadership role. We expect you’ll have spent at least 14+ years in corporate law and have previously held General Counsel positions. We are looking for individuals who have thrived in a start-up environment, and heavily regulated environments. We will understand your passion for our company. Of course, you’ll also need certain skills and abilities to do the work.
