General Counsel

We are looking for a General Counsel who will serve as a key legal advisor on all areas of our business and help us achieve our objectives in a legally compliant and ethical manner. You will be a pacesetter for an organization that is challenging and disrupting the status-quo while having the highest degree of professional ethics and personal integrity. In addition, you will lead a team of A+ legal professionals and liaise with senior executives across the business.

What you’ll do:

Oversee the operations of the legal team to effectively serve contract needs, prioritize tasks, and support and advise on other other company-wide initiatives; determine the optimal balance between an internal team and external counsel, and staff appropriately. Oversee the selection, retention, management and evaluation of outside counsel
Architect and ensure compliance with all company legal templates, including our Terms of Use, Privacy Policy, PIIA, Employment Contract, etc.
Proactively and creatively evaluate and advise on risk factors impacting business decisions and anticipate unique legal issues that could impact the company
Support communications and negotiations with external parties (i.e. regulators, external counsels, vendors, etc.), creating relationships based on trust
Maintain knowledge and anticipate alterations in legislation and develop the organization's policies on industry-specific issues, corporate governance and regulatory affairs
Advise on legal aspects of the company’s financing, including assessing and advising on current and future business structures and legal entities.
Set performance objectives for the Legal team and collaborating with peer teams with respect to their objectives as they relate to legal or regulatory considerations (e.g., compliance)
Serve as a strategic thought partner to the Management team regarding corporate matters including board resolutions, equity compensation, and entity structure.
 

What’s required:

15+ years of progressive legal experience working in corporate law with 5+ years working in-house.  Experience with e-commerce, consumer technology and/or marketplace companies that have experienced remarkable scale is a plus
Broad, direct experience with a variety of legal matters, including strategic business agreements, commercial contract negotiation, information security and compliance, privacy, corporate governance, intellectual property rights and in helping companies understand and shape government policy / regulations
Strong negotiating skills across both legal as well as financial/commercial issues
Excellent knowledge and understanding of corporate law and procedures
Demonstrated ability to create legal defensive or proactive strategies
Good standing with the New York State Bar
Health Care experience (a plus)
