Limetree seeks a hands-on, experienced General Counsel who as an integral member of the leadership team, will act as the senior legal advisor for the Company. S/He will have responsibility for the management and oversight of all legal issues and the provision of legal services, counsel, and advice to all members of senior management. The General Counsel will oversee a lean internal team and will be expected to manage external counsel in an effective but cost-efficient manner.

The General Counsel will be expected to have broad experience with respect to corporate and commercial matters in the energy sector, particularly the downstream and midstream sub-sectors. The General Counsel will also need to manage any litigation that arises from time to time, as well as regulatory and compliance matters. The General Counsel must have strong interpersonal and communication skills and demonstrated experience as a decisive and thoughtful leader with pragmatic business acumen and the ability to command respect internally and externally.

The General Counsel will report directly to the President of Limetree Bay Refining, but will also work closely with the Associate General Counsel of ArcLight and Limetree’s investors. This position is located in Houston, Texas.

RESPONSIBILITIES

The General Counsel is expected to lead and manage the Legal Department and outside counsel. The General Counsel will also be expected to ensure that the business practices, policies, and activities of the Company meet all legal and regulatory requirements. It is essential too that the General Counsel be viewed as one of the guardians of the Limetree culture and its values. In addition, the General Counsel is responsible specifically for the following:

As Member of Senior Leadership Team:

Develop a strong and credible relationship with the Board of Directors, President of Limetree Bay Refining, and CEO of Limetree Bay Terminals and develop a strong working relationship with other senior executives
Contribute to the strategy of Limetree as well as to the implementation and execution of tactical decisions
Provide leadership, advice, and counsel on all legal aspects of proposed commercial negotiations and corporate structuring
As Senior Legal Advisor:

Advise on corporate, litigation, and regulatory/compliance issues
Oversee and manage commercial legal issues relating to contracts, asset financings, construction contracting, key supply agreements, and real estate and tax matters
Actively monitor the legal and regulatory environment concerning current mandates and future trends that will impact the
business and provide advice as needed
Lead legal resource for corporate initiatives such as mergers and acquisitions, due diligence, and asset integration
Provide shared legal services for Limetree Bay Terminals, LLC (expected approximately 20% of time)
Interpret laws, rulings, and regulations for the Company
Participate in the management process to assess, avoid, and minimize legal risks and show legal opportunities related to
business strategy and operations
Contribute to developing Company policies and ensure compliance
Act as an agent of the corporation in litigation and other legal proceedings; provide legal advice in labor negotiations Serve as Corporate Secretary

KEY QUALIFICATIONS 

Act as an agent of the corporation in litigation and other legal proceedings; provide legal advice in labor
A minimum of 15 years of experience as a practicing corporate attorney including top-tier law firm experience 
Broad experience with respect to corporate and commercial matters and specific experience in the energy sector; experience working in the downstream and the refining sub-sector is not required but considered a plus 
Prior experience as a general counsel or in a senior in-house counsel role strongly preferred, but not required  
Experience managing litigation and regulatory matters is also preferred 
Excellent written and verbal communication skills 
Exceptional interpersonal skills and the ability to communicate effectively with senior business leaders and other professionals and colleagues at all levels of an organization while utilizing excellent business and legal judgment in complex situations 
Strong, pragmatic business acumen with the ability to be adaptable and flexible in his/her approach and thrive in a
fast-paced, dynamic and high-energy environment 
Ability to work collaboratively and as a member of a team while empowering business leaders and colleagues and emphasizing accountability 
Unquestioned integrity, credibility, and judgment 
A willingness to lead by example, with the ability to “roll up his/her sleeves,” when needed, undertaking day-to-day legal work  
EDUCATION & EXPERIENCE 

Bachelor’s Degree in engineering, business, marketing, finance or a related field or equivalent experience 
JD required from an accredited college
