The Vice President, General Counsel provides legal representation and advice to the senior management team regarding all legal and contract issues related to the Company and its business. Individual will have full responsibility for the Legal Department and will analyze business and legal risks to ensure that legal obligations, duties, and policies of the company are observed and performed, and that the Company’s legal rights are protected and enforced.

Provide Legal & Contractual advice / insight and participate in strategy discussions with the Company’s Senior Management team.
Oversee and manage the Legal Department and provide them with guidance and oversight of all Company legal matters.
Provide guidance and oversight for all government and commercial contracts and compliance with government contracting rules and regulations including: FAR / DFAR, export controls, and ITAR rules and regulation.
Remaining abreast of acquisition laws and regulations to advance the Company’s interests and to develop and apply strategic initiatives to enhance organizational operations as appropriate.
Supporting business development initiatives during the drafting, negotiating, and review of contracts, subcontracts, teaming agreements, strategic alliances, joint ventures, joint technology arrangements, merger and acquisition opportunities and other business agreements with other private parties and the Government.
Functioning as the Ethics Compliance Officer for the Company, which includes overseeing all investigations and matters relating to compliance with the Company Code of Conduct and Company anti-corruption policies and conducting appropriate periodic training.
Managing the docket relating to, and providing advice regarding, all litigation matters, including commercial claims, employment practices, workers’ compensation, etc.
Providing advice regarding employment, labor and HR issue.
Corporate secretarial responsibilities, such as maintenance of corporate minute book.
Performing Legal department administrative functions to include budget development, tracking and reporting, significant item reporting and internal investigation reporting.
Selecting and monitoring the performance of outside counsel when necessary to augment in-house legal resources.
Assuring that the assigned Legal actual functional activities are conducted in a manner consistent with, and in compliance with, applicable laws and regulations.
Required Skills
Bachelor’s degree from a four-year college or university and Juris Doctorate from an ABA accredited law school

EXPERIENCE: Minimum of ten years’ experience, including substantial experience working within the government defense contractor industry, Broad corporate/commercial/business law experience is preferred. The ideal candidate will have both Big Law and in-house defense contractor law department experience.

OTHER:

Ability to lead and manage a team of attorneys, paralegals and contracts professionals
Possess or be qualified to receive a U.S. DoD security clearance
Ability to travel (domestic & international) as a business partner to negotiate contracts, joint ventures and settlements
Maintain a high degree of professional ethics and integrity
Demonstrate strong business judgement and decision-making skills
Strong written and verbal communication and interpersonal skills
