General Counsel, FinTech

Our client, a growing FinTech company, is looking for a dynamic business minded attorney to be its General Counsel as they take their business to the next level.  

As General Counsel, you will be a member of the senior leadership team, will report directly to the CEO and will collaborate closely with senior management.  You will be involved in all legal matters to help the business move forward, to ensure compliance with SEC and FINRA regulations and to minimize risk exposure.  You will be expected to provide vision and leadership to support the company’s business objectives.

 Key Responsibilities:

• Provide legal advice regarding all aspects of the company’s business.  
• Identify and execute solutions that achieve strategic initiatives while mitigating risk. 
• Manage internal legal and compliance staff and outside counsel.
• Actively participate in negotiations, drafting and critical review of transaction documents.
• Ensure that the company is up to date and in compliance with all relevant securities regulations.

Qualifications:

• 15+ years of legal experience in alternative investment fund formation (including hedge funds and private equity funds), mergers & acquisitions, 40 Act, FINRA and SEC compliance, HR and general corporate matters.  
• Experience managing a team.
• Strong work ethic, “hands-on” mentality and ability to work in a fast-paced environment.
• Ability to motivate and inspire confidence in others.
• In-house experience preferred.
• Member in good standing of NY Bar.
