EYP is seeking a General Counsel. Reporting to the Chief Financial Officer, this strategic leader oversees all corporate governance and project-related contractual activities to drive effective business outcomes.

Responsibilities:

Facilitates essential business transactions by maintaining and drafting standard owner and sub-consultant agreements; negotiates these agreements as necessary.
Advises management on legal risks inherent in proposed contractual arrangement and transactions and devises practical, business-oriented alternatives that will eliminate those risks or reduce or contain them to levels acceptable to the company and its management.
Maintains corporate structures essential for conducting business, advising on business structures and regulatory compliance and participating in business management teams.
Gives legal advice with respect to corporate administration; prepare corporate forms; anticipate and guard against legal risks involving the organization.
Advise on and manages corporate insurance and bonding programs.
Establishes and manages relationships with outside counsel and acts on behalf of EYP in both the defense and prosecution of lawsuits.
Oversees corporate and transactional legal matters, including banking, board of directors matters, mergers and acquisitions, ethics and compliance, and internal controls.
Drives corporate compliance through legal training and review of business activities to ensure compliance with applicable laws and corporate policies, such as antitrust and business ethics.
Participate in legal actions of a sensitive and complex nature.
Studies proposed and existing legislation related to operations of the company.
Develops and monitors internal controls associated with the legal function, advising affected department.
 
POSITION REQUIREMENTS
J.D. degree from an accredited law school and admitted to practice in a state in which EYP maintains an office, NY is preferable.
Minimum of 15 years of relevant experience in a broad range of corporate transactional matters including contract drafting and negotiation gained in a major law firm or in-house legal department of a professional services firm, with a preference toward Architecture/Engineering/Construction industry experience with a heavy operational base in multiple states.
Familiarity with AIA contract documents a plus.
Experience with ESOP corporate structure preferred.
Well organized, detail-oriented, highly motivated and disciplined.
Excellent, concise interpersonal, presentation and communication skills (both written and verbal).
Strong ability to utilize and influence resources not under direct control.
Capable of thinking strategically about financial implications and alternatives as they relate to business planning and strategies.
Ability to react with a sense of urgency to achieve mutually-agreed upon objectives and timeframes for completion despite obstacles, time pressures and changing business conditions.
Management experience in an in-house legal department preferred.
Experience with employment and labor law including immigration a plus.
Ability to effectively present information to a variety of audiences.
Ability to travel as the needs of the business requires, up to 25% of the time.
