The role of Vice President General Counsel is responsible for the overall supervision of the Legal and Ethics/Compliance functions at Roche Diagnostics Corporation (RDC) and Roche Diagnostics Operations (RDO) and their subsidiaries and affiliates that do not have an independent law department. This role will provide senior level direction or guidance to support smaller business areas or multiple major departments in the Division.  This position is ultimately accountable for the P&L for assigned business areas and will set strategic vision and implement policies and programs to achieve objectives. In addition, the individual in this role will ensure that the Roche Diagnostics Quality Policy is understood, implemented and maintained in all levels of the organization. This includes establishing and maintaining an adequate organizational structure, providing adequate resources and actively participating in management reviews to ensure the quality system is suitable and effective to satisfy regulatory requirements and the company’s quality policy and objectives. It will also support the quality planning process to drive continuous improvement and changes of the quality system to ensure ongoing effectiveness and efficiency. Ultimately this role will develop and drive a work culture committed to compliance, quality and customer focus.

Key Roles and Responsibilities:

Management of Legal staff, hiring outside counsel for litigation and special issues, and assuring legal compliance by the corporation and counseling of management.
Creates long-term vision and provides strategic direction for Roche Diagnostics’ ethics, compliance, and business conduct positioning. 
Provides leadership, oversight and expert advice to assure appropriate interpretation and implementation of legal, ethics and compliance strategies, policies and programs including ethical relationships with employees, customers, contractors, suppliers, and other stakeholders.  Notwithstanding the broad scope of this position, the primary responsibility for FDA compliance is outside the scope of this position.
Ensures the RDC/RDO Quality Policies are understood, implemented and maintained in all levels of the organization.  Establishes and maintain an adequate organizational structure, provides adequate resources and actively participates in management reviews to ensure the RDC/RDO quality systems are suitable and effective to satisfy regulatory requirements and the companies’ quality policies and objectives. 
Directs the quality planning process to drive continuous improvements and changes of the RDC/RDO quality systems to ensure ongoing effectiveness and efficiency. 
Develops and drives a work culture committed to compliance, quality and customer focus.
Overall supervision as Chief Ethics Officer of the company to assure compliance with legal and ethical standards, reduce litigation and improve employee morale.
As corporate Secretary, maintain the official books and records of the RDC, RDO and subsidiary corporate entities (excluding Ventana) for Boards of Directors proceedings.
Qualifications:

JD or LLM
15+ years of legal experience in broad range of fields
5+ years experience working in a complex matrix organization environment
5+ years of people management experience, including employee selection/development, performance management, and change management
Judgment of character, work habits and likelihood of success in a complex organization; willingness to let talented people work with minimal but essential supervision
Consistency in being honest, straightforward and a trustworthy counselor
Ability to lead and effectively manage in a highly competitive global environment
Knowledge and experience in strategic planning, business planning, finance, and operations management
Excellent interpersonal, negotiation, and presentation skills, with the ability to motivate and inspire assigned business units
Visionary with the ability to think in a agile and creative manner
Highly effective communication, administrative and management skills
Exceptional knowledge of applicable local, state and national regulatory agency guidelines
Experience providing guidance on employment law policies, practices and procedures
Ability to champion quality improvement initiatives
