About the Position: 

This position will report to the CEO and Board of Directors.  The individual selected for this role will advise on a variety of contract, intellectual property, data/privacy, employment, compliance, and business-related issues.  

Job Description: 

Contract drafting, reviewing, and negotiation.  Primarily operations-related agreements including entity formation documents, non-disclosure agreements, joinder agreements, employment agreements (including non-compete, non-solicit, and severance agreements), IP licenses, data licenses, SaaS agreements, SLA’s, vendor and supplier contracts, professional services contracts (including consulting, IT services, and web development services agreements), etc.  
 Advise in merger and acquisition deals, including performing legal diligence and drafting and negotiating relevant agreements.  
 Assess the business risk of contract provisions and business decisions, and effectively and concisely communicate these risks in writing to clients, catered to the clients preferred style. 
 Research legal questions (related to employment law, IP, data security/privacy, contract provisions, entity formation, etc.) and provide detailed, concise, business-oriented answers or suggestions. 
 Stay on top of changing regulations, laws, and industry standards and effectively work with a variety of business stakeholders to develop and implement practices that support innovation and growth while maintaining appropriate commercial risk 
Required Background:
 
J.D. from prestigious law school
Member in good standing with the State Bar of NH
7+ years' experience in transactional law, preferably in both a law-firm and in-house setting
Experience in finance and technology industry strongly preferred
Must be extremely well versed in transactional law with extensive experience drafting and negotiating contracts, in-particular; non-disclosure agreements, licensing agreements, and professional service agreements
Experience interfacing directly with clients

Must be able to work directly with and effectively communicate orally and in writing with senior management
