R3 is an enterprise blockchain software firm working with a broad ecosystem of more than 300 members and partners across multiple industries from both the private and public sectors to develop on Corda, our open-source blockchain platform, and Corda Enterprise, a commercial version for enterprise usage. Our global team of over 180 professionals in 13 countries is supported by over 2,000 technology, financial, and legal experts drawn from our global member base.
 
Our Corda platform is already being used in industries from financial services to healthcare, shipping, insurance and more. It records, manages and executes agreements (smart contracts) in perfect synchrony with their counterparties, creating a world of frictionless commerce.

R3 is looking for a General Counsel based in New York. The General Counsel will play a broad strategic role, influencing decision making at the highest levels of the company as a member of the Executive Leadership Team and across the firm’s functions, including sales and partners, corporate development, product and marketing, engineering, human resources and finance.
 
The General Counsel will provide legal advice and support on commercial matters, customer centric work, corporate development activity, employment matters, dispute resolution, compliance and enterprise risk management. The ideal candidate will be a thought leader and commercial/business advisor to R3’s relevant decision-makers. Areas of focus include commercial transactions, corporate governance, contracts, software licensing, intellectual property and patent matters, dispute resolution and litigation support and strategy, along with regulatory and compliance issues.

Responsibilities
Lead, manage and develop a team (NY and London) of attorneys and paralegal professionals to fulfil the Legal Department’s mission.
Provide analysis and legal advice on all material commercial, litigation, compliance, employment, intellectual property and patent matters.
Draft, negotiate and review commercial contracts, including but not limited to, agreements relating to business relationships, joint development agreements, direct licensing, redistribution licencing, professional services, confidentiality and other business and legal documents.
Consistently anticipate, provide timely evaluation, propose mitigation strategies for and advise management of potential risks in contractual, regulatory, compliance, intellectual property, employment, and legal areas.
Develop, implement, improve and review legal and compliance processes, procedures and training.
Manage and develop productive relationships with outside counsel, where necessary, to cost-effectively and efficiently manage the company’s global business needs and relationships.
Coordinate corporate governance management with outside legal counsel.
Oversee Chief Compliance Officer to ensure compliance with Anti-Bribery, Anti-Corruption, Data Privacy and export regulations. This includes but is not limited to US OFAC, US FCPA, UK Anti-Bribery, GDPR and other regulatory compliance issues.
Create and manage a sound Enterprise Risk Management framework.
Qualifications
Juris Doctorate, LLM or other equivalent from an accredited law school.
Current member in good standing with the applicable Bar Association/Council or other relevant professional association.
15 or more years of relevant experience, including experience leading a legal department or significant legal group.
Experienced and comfortable working with strong external counsel firms; an understanding and ability to manage and maximize these relationships in a cost-effective manner.
Material experience with international law, international markets, and international subsidiaries.
Demonstrated experience negotiating and drafting multi-million-dollar commercial software license transactions with large customers, including financial institutions, (banks, hedge funds, clearinghouses, exchanges and other capital market entities).
Exposure to working with Finance to identify and address software revenue recognition issues, tax, and other accounting and finance issues.
Excellent verbal and written communication skills in all interactions with senior management, corporate departments, and all levels of employees with impeccable attention to detail.
Ability to be tactful and assertive and possess the ability to take unpopular positions when necessary to benefit the corporation, while maintaining trust and credibility.
Intense external and internal client focus/responsiveness to consistently meet document turnarounds in a fast-moving environment.
