Evapco, a privately-held global company offering a full spectrum of heat transfer solutions, is looking for a General Counsel or Deputy General Counsel (depending upon the successful candidate’s prior experience) to join its Executive Management Team. The successful candidate will provide legal advice and services to Evapco’s executives and other employees (including for subsidiaries and affiliates) on a wide array of subjects and areas, with an initial focus on construction matters but that will also include labor and employment matters, commercial transactions, corporate matters, intellectual property protection, and interfacing with insurance companies. The specific duties/work will include:
• Negotiating terms and conditions for large contracts, including agreements with Engineering Procurement Construction (EPC) companies;
• Pursuing legal claims and dispute resolution;
• Negotiating and pricing change orders;
• Negotiating commercial transactions including acquisitions, joint-ventures, and strategic supply agreements;
• Providing advice on labor and employment matters for all US locations;
• Ensuring protection for an extensive intellectual property portfolio, including foreign and domestic patents and patent applications as well as trade secrets;
• Supervising and managing litigation of all types;
• Serving as corporate secretary to ensure compliance with local laws and maintaining board resolutions
• Communicating with insurance carriers concerning claims and coverages;
• Supervising international counsel for matters involving non-US subsidiaries
Responsibilities
• Represents and advocates for Evapco and its subsidiaries in dealings with third parties
• Provides both legal and strategic guidance to Evapco business partners
• Drafts, reviews and negotiates a variety of complex documents with employees, customers, vendors and other business partners
• Work collaboratively with Executive Leadership
Minimum Qualifications
• 8+ years of legal experience (law firm or in-house legal department)
• Juris doctor required
• Maryland Bar membership or the ability to be admitted within one year
• Ability to balance protecting company assets with business objectives
• Ability to work as part of a team
• Ability to perform wide range of tasks, regardless of importance
• Exceptional writing skills
• Strong analytic abilities
• Ability to mediate conflict
• Highly developed negotiation skills
Evapco’s current legal department consists of one (1) attorney. Depending upon prior experience, the successful candidate may join the company directly as General Counsel or as Deputy General Counsel with the near-term expectation of becoming General Counsel.
