The Opportunity:

Coleman Research is currently recruiting a General Counsel & Chief Compliance Officer to join our team in Raleigh. In this role, you will provide legal advice to the executive management team and the business to help ensure Coleman’s compliance in an ever-changing legal environment. You will be responsible for handling many matters personally as well as managing the internal legal staff and outside counsel for routine business matters, regulatory matters and human resources issues.

In this role, you will be responsible for:

*Client Relations: Educate clients and prospective clients concerning the company’s legal and compliance program through formal presentations. Maintain day-to-day contact with legal and client compliance professionals.

*Products: Devise new products sets for legal and compliance professionals, work with product teams to enhance & improve compliance portal.

*Contracts: Negotiate, draft, and manage agreements governing the global delivery of the company’s services, revenue sharing agreements, vendor agreements, and confidentiality agreements.

*Risk Assessment and Policy Drafting: Identify and evaluate legal risks and counsel internal business clients accordingly. Institute appropriate policies and procedures to address and mitigate such risks.  

*Human Resources: Partner with HR to negotiate and draft employment contracts, severance agreements, and employee compensation plans.  

*International: Manage on-going corporate governance and reporting requirements for international operations in Hong Kong, Beijing, and London. Provide counsel concerning global employment issues, including work authorization, benefits, and employment policies

Requirements:

 J.D. from an accredited law school required 
 10-15 years of relevant work experience (investment management compliance or internal audit responsibilities are a plus) 
Knowledge of corporate law, contract drafting and preparation of corporate documents, such as non-disclosure agreements 
Prior experience meeting directly with clients and negotiating contracts 
Excellent communication skills and the ability to present effectively verbally and in writing 
Ability to work well with others in a fast-paced environment
