Altos Ventures is a SEC Registered Investment Adviser (RIA) with more than a billion dollars in regulated assets under management. The primary activity of the firm is to manage funds that make venture growth investments in enterprise and consumer technology companies. Altos prefers to be the first institutional investor in high-growth, founder-led companies. Altos Ventures seeks an experienced but flexible and entrepreneurial candidate to join as its first ever, in-house General Counsel (GC).

As GC, you will work closely with the firm’s founders and investment team. You must be a self-starter requiring limited direction and oversight, possess strong communications skills, have a sense of humor, and be energetic, positive, intelligent, and flexible in working with the Altos team and senior industry leaders.

Responsibilities

Your primary responsibilities as GC will be on governance pertaining to fund and investment matters, including matters arising from the RIA status of Altos. The work is varied and will touch on a wide range of legal issues pertaining to investment transaction structure and documentation (for both purchases and sales), as well as regulatory compliance matters.

The Altos GC will potentially work closely on portfolio company related matters such as advising on vendor terms, structuring debt and equity financings, and capital structure optimization. You will also manage existing or new legal relationships (with outside counsel), identifying and overseeing the engagement of highly specialized firms who are the best in their fields, whenever required. You will also work with the in-house and external legal counsel of portfolio companies where necessary.

Requirements

Our ideal candidate has/is:

Law degree (LLB; JD) and is a member of a state bar, along with knowledge of the U.S. legal framework
Experience with a technology law firm preferred
Minimum of seven years of legal experience
Knowledge of corporate/securities law, preferably with exposure to venture and private equity transactions
Corporate governance experience
Experience with emerging growth companies is a plus
Knowledge of SEC registration, audit and control and other compliance requirements for Registered Investment Adviser firms
Experience as in-house counsel is a plus
Knowledge of  Anti-Money Laundering (AML/KYC) a plus
Highly self-motivated and proactive; eager to take ownership of work product and able to advance work independently
Team-oriented; demonstrates a commitment to shared success
Excellent interpersonal skills and ability to develop collaborative relationships at all levels in inside and outside the organization
Strong problem-solving skills combined with attention to detail and thoroughness
Excellent organizational skills and capability to effectively manage priorities while meeting timelines
 

Altos is not limiting our search to the SF Bay area. If you are outside the SF Bay area, you must be comfortable with occasional travel to meet with internal and external teams in the SF Bay area.
