General Counsel

We are looking to add a General Counsel to join our rapidly growing team. The General Counsel will lead and oversee strategic direction of Legal functions for Bunker Capital, and work on a broad variety of legal and regulatory matters as we establish a Broker-Dealer for Security Token Offerings (STOs).

Responsibilities include, but are not limited to:

Advise the Executive Team on legal strategy and risks associated with the company’s broker-dealer operations, regulatory compliance, employment and securities law.
Analyze and provide guidance on evolving laws, rules, regulations, and trends impacting broker-dealers, including: Securities Act of 1933, Securities Exchange Act of 1934, and related broker-dealer statutes and regulations; FINRA and MSRB rules and regulations; and other federal and state financial services-related laws, rules and regulations applicable to broker-dealers.
Identify business, regulatory and legal risks and recommend practical alternatives that allow the company to operate in compliance with state and federal laws, rules and regulations.
Manage outside counsel as well as interactions with the SEC, FINRA and other regulatory authorities.

REQUIREMENTS
J.D. from an accredited law school and licensed to practice in FL, CA or NY is preferred.
10+ years of legal and/or compliance experience at a broker dealer.
Previous experience with establishing a Broker Dealer is preferred.
Demonstrated experience working effectively with FINRA and SEC.
Expertise of corporate, securities, contracts, intellectual property and employment law.
Strong negotiation skills with legal, compliance, business and financial issues.
Excellent business judgment and strategic thinking capabilities.
Experience and professionalism to communicate effectively with high net worth clients.
Blockchain industry experience is ideal.
