General Counsel

Alumni Ventures Group (AVG) is a fast-growing venture firm that over the last 2-plus years has raised over $175 million in assets under management through a family of alumni and affinity-focused VC funds. Our corporate headquarters, located in Manchester, NH, provides back-office support and other resources to our funds across the country. On an annual or quarterly basis, these funds raise money from investors to create a diversified portfolio of 20-25 investments in venture and other alternative assets. Using this model, AVG has successfully launched 25+ venture funds and is looking to continue its growth in the coming years. We are private, for profit, and not part of any school.  

We’re now seeking an experienced but flexible and entrepreneurial candidate to join as its first in-house General Counsel (GC). As GC, you will work closely with the firm’s executive and investment teams on all legal and compliance-based activities. You must be a self-starter, requiring limited direction and oversight; be a problem solver; possess strong communications skills; have a sense of humor; and be energetic, positive, intelligent, and flexible.

Requirements

Our ideal candidate has/is:

  • Law degree (LLB; JD) and is a member of a state bar, along with knowledge of the U.S. legal framework
  • 7-10 years of legal experience
  • Experience with VC fund structuring, PPM documentation, and venture investing preferred
  • Knowledge of corporate/securities law, preferably with exposure to venture transactions
  • Corporate governance experience
  • Experience with emerging growth companies is a plus
  • Extensive knowledge of SEC and FINRA regulations, audit, and control, as well as all other potential compliance requirements
  • Experience as in-house counsel is a plus
  • Highly self-motivated and proactive
  • Expertise in international regulations and compliance
  • Entrepreneurial with a willingness to identify and solve potential issues
  • Team-oriented and demonstrated track record of commitment to shared success
  • Excellent interpersonal skills and ability to develop collaborative relationships at all levels in inside and outside the organization
  • Strong attention to detail and thoroughness in all matters
  • Excellent organizational skills and capability to effectively manage priorities while meeting timeline 

Responsibilities

Your primary responsibilities as GC will encompass all aspects of the Company, but with a particular focus on leading the legal governance pertaining to both the LLC and its venture funds. This includes:

  • Representing AVG and its funds in a wide variety of legal matters
  • Serving as the internal expert on all legal, regulatory, and compliance matters
  • Managing the ongoing development and creation of Fund-based PPMs and their supporting documentation
  • Ensuring regulatory filings are completed correctly and on time
  • Leading on all ongoing legal requirements of the Company
  • Working with stakeholders throughout the organization to further develop compliance procedures and policies
  • Overseeing and managing AVG’s relationships with outside legal counsel
  • Identifying and overseeing the engagement of highly specialized firms who are the best in their fields, when applicable
  • Preparing, negotiating, and managing a wide variety of contractual arrangements
  • Assisting with the drafting of submissions on regulatory matters
  • Developing processes and tools to scale compliance programs to support AVG’s operations
  • Working with the executive team to research, structure, and facilitate the creation of new investment vehicles and legal entities
  • Assisting with the drafting, implementation, training, and periodic revisions of corporate policies
  • Supporting the Company and its stakeholders in a variety of legal matters; employee issues, general organizational matters, etc.
  • Identifying and tracking regulatory developments and best practices in the areas of compliance, securities law, and corporate governance
  • Assisting in the legal review of investment docs and fundraising materials
