Description
The General Counsel provides strategic and operational legal counsel in the areas of contract law, dispute resolution, employment law, corporate organization and governance, and business and transaction structuring. 

 

ESSENTIAL FUNCTIONS AND BASIC DUTIES  

Team Management – direct and develop members of the legal team, including attorneys, paralegal, and support staff 
Corporate Organizations and Governance – create new and maintain existing operating entities, particularly LLCs 
Business and Transaction Structuring – help business partners turn ideas into reality 
Business Operations – provide strong working knowledge of business operations, including early stage and growth stage companies; keep abreast of federal and state laws that affect the businesses 
Contract Review – apply wide and deep experience with contract interpretation and drafting 
Dispute Resolution – understand and strategize fair courses of action that minimize risk and burden to the company 
Employment Law – counsel leaders and human resources team members on general employment matters, including restrictive covenants 
Finance and Loans – understanding of fundamental provisions of significant bank financings; ability to structure and document routine financial agreements 
Acquisitions – understanding of M&A process and experience with due diligence and documenting and closing transactions 
Intellectual Property – provide counsel on trademark and other IP issues, licensing and registrations 
Outside Legal Counsel – develop, manage, and monitor outside legal assistance and expenses
 

Requirements
At least 15 years of relevant business / corporate practice as a licensed attorney and member of a state bar, with a strong preference for substantial senior-level in-house corporate experience 
Understanding of healthcare law and regulations impacting the engagement and management of physicians and allied health professionals, including corporate practice of medicine issues 
Understanding of healthcare delivery models and their management, including telemedicine 
Working knowledge of trademarks, registrations, and IP licensing, generally 
Experience with mergers & acquisitions, including due diligence, structuring and documentation preferable (not looking for a transaction attorney, but rather corporate side M&A experience helpful) 
Working knowledge of non-profit organizations and governance 
J.D. degree from an accredited law school required, additional degree in business an asset 
Preferences:  Georgia bar membership
