The General Counsel/Vice President of Legal is responsible for leading corporate strategic and tactical legal initiatives.  The GC/Vice President of Legal provides senior management with effective advice on company strategies and their implementation, manages the legal function, and obtains and oversees the work of outside counsel.  The GC/Vice President of Legal is directly involved in complex business transactions and negotiating critical enterprise-wide contracts. This position may require up to 25% of travel.

Essential Functions:

Participates in the definition and development of corporate policies and procedures.
Provides continuing counsel and guidance on legal matters and on legal implications of all matters.
Serves as a primary legal advisor on all major business transactions, including acquisitions and joint ventures.
Judges the merits of major court cases filed against or on behalf of the company, works with the appropriate executives to define a strategic defense and approves settlements of disputes where warranted.
Promptly responds to GPB’s requests for legal information.
Oversees the selection, retention, management and evaluation of all outside counsel in cooperation with the Board of Managers.
Reviews and negotiates enterprise-wide agreements.
Advises Alliance’s PT partners and escalates to the executive team when necessary.
Required Education and Experience:

Law degree from an ABA-accredited law school.
Member in Good Standing in any state Bar.
Minimum of six years’ experience as a practicing attorney, preferably both in a law firm and in-house.
Experience working on matters of corporate governance and with a Board of Managers.
Experience managing outside legal counsel in a cost-efficient manner.
Experience reviewing enterprise-wide contracts of any kind.
Experience in labor and employment law.
Preferred Education and Experience:

Exposure to or familiarity with the following areas of law: Stark, Anti-Kickback, CMS guidelines and federal healthcare regulations, medical office leasing.
