MJ Holding Company, LLC is the largest North American distributor of trading cards (gaming, sports, and entertainment), related trading card supplies and hot trend items. We are a privately held company that provide retail supply chain management and specialize in category planning, planogram development, initial distribution, replenishment, and merchandising of the modular for our retail partners. Additionally, we support manufacturers who are looking for retail distribution of their products.

Headquartered in Bedford Park, Illinois, just outside of Chicago, we operate out of a 200,000 sf distribution center and corporate offices. Additionally, we have a 35,000 sf distribution center in Cambridge, Ontario to support our Canadian customers. We provide services to over 8,000 retail store locations across the United States and Canada.

Duties & Responsibilities

Drafting and co-negotiation of key company agreements, including:
customer agreements
key product supplier agreements
third part service provider agreements
real estate leases
Manage company intellectual property matters, including:
trademarks
copyrights
patents
Human Resources related legal support
Coordinate with outside counsel on matters that require specialized experience or additional capacity.
Serves as key lawyer/legal advisor on all major business transactions, including acquisitions, divestitures and joint ventures.
Works with the CFO to develop and manage all aspects of our risk management strategy and functions, including business insurance policies, compliance with internal governance programs, and external regulations
Provides counsel in content development and production, information security, and e-Commerce.
Advises on legal aspects of the company’s financing, including assessing and advising on current and future business structures and legal entities.
 

Qualifications
Minimum of ten years’ legal practice experience.
Strong understanding of national and international employment, trademark and copyright laws.
Prior in-house experience with a multi-national company or in the corporate section of a law firm.
Prior legal experience within the Consumer Products Industry, Toy Industry, Retail or Wholesale Distribution industry experience
Ability to effectively assess all issues from both legal and business perspectives when advising business leaders, identifying risks and prioritizing response.
Experience managing outside attorneys for a corporation; or other attorneys within a law firm; experience with cost-effective management of outside legal resources.
Experience in directing strategy and managing complex IP litigation cases.
Broad, overview experience in intellectual property law, including patent law, licensing of IP rights and IP due diligence.
Exposure to or familiarity with privately held corporate structures such as and LLC or S Corporation.
Exposure to or familiarity with the following areas of law; antitrust, computer law and privacy.
Exposure to non-US legal environment, specifically Canada and potentially other countries, desired.
     
 

This is a full-time position, working M-F 8am-5pm. Evening and weekend work may be required as job duties demand.
