1.     Serve as the General Counsel for the Rolls-Royce Power Systems (RRPS) subsidiary, MTU America Inc., as a member of the Senior Management Team for MTU in the Americas.

2.     Oversee, collaborate and manage all legal, regulatory and export compliance matters for manufacturing, sales, service, and distribution activities in North, Central and South America.

3.     Manage corporate governance matters as Company Secretary for MTU America and any subsidiaries.

4.     Coordinate and implement legal support for MTU America from both RRPS legal (based in Germany), and the regional and legal subject matter experts in the larger Rolls-Royce Group global legal team.

5.     Oversee regulatory reports and disclosures to United States Government Agencies

6.     Coordinate the intellectual property strategies (e.g., patents, trademark and related branding) between the U.S. business activities and the intellectual property teams in the United States and Germany.

7.     Advise, manage and direct appropriately any litigation or matters likely to become litigious.

8.     Provide dispute management expertise, while anticipating issues and putting in place measures to minimize risk and exposure.

9.     Evaluate, negotiate, prepare and manage contracts especially those pertaining to sale of products, mergers and acquisitions, maintenance and service, licenses for patents or know-how, real estate matters, purchasing contracts that relate to large volume components and materials and license agreements.

10.   Review and develop policies in accordance with the US legal and regulatory compliance requirements.

11.   Manage global legal resources pursuant to an operational budget, including selection, management and coordination of US and international internal and external legal resources.  Actively manage legal fees, including advance fee agreements, for matters under external instruction.

12.   Recruit employees, assign, direct, and evaluate their work, and oversee the development and maintenance of staff competence

13.   Responsible for departmental oversight of budgets, forecasts and statistical reports.  Review financial statements and other performance data to measure productivity, goal achievement and to determine areas needing cost reduction and/or improvement.

14.   Contribute to knowledge management and training, deploy best practices, and share knowledge within the company globally.

15.   Perform special projects as required, including the coordination or participation in Merger and Acquisition projects

16.   Promote a compliance culture in area of responsibility, and live the letter and the spirit of the MTU America Integrity Code.

Qualifications:
J.D. and a minimum of 6 years of professional legal experience;
Minimum of four (4) years of in-house legal counsel experience in a corporate manufacturing environment involving import/export compliance and merger and acquisition activities.
Admission and status in good standing with any State Bar in the United States.
Proven strategic leadership and executive management skills
Excellent knowledge of general business and management principles, such as strategic planning, resource allocation, leadership, production methods, and coordination of people and resources.
Excellent ability to negotiate and manage complex commercial agreements, litigations, business processes and procedures
Excellent oral, written and presentation skills and the ability to understand the needs of internal and external customers
Excellent analytical and problem solving ability when situations are very complex
Excellent interpersonal skills and the ability to inspire others
Excellent organizational planning and follow-up skills
Must be available to work flexible hours
Ability to travel – domestic and international (up to 50%)
Proficient with PC and MS Office Suite.  
 
Preferred:
 
Experience with EPA regulations
Knowledge of off-highway diesel engine & propulsion system products, services and applications
Knowledge of German–American business culture
International business experience
Experience with intellectual property
