General Counsel

Incipio, LLC, one of the OC’s fastest growing and most dynamic companies is looking for a highly motivated General Counsel & Secretary to report directly to the CEO. The successful candidate will be responsible for managing a broad range of legal matters of the company and its portfolio of brands, will partner with business and legal colleagues to achieve Incipio’s business objectives, and will provide strategic and timely legal advice to the CEO and other senior management of Incipio. The role requires a results-driven, self-starter possessing exemplary leadership, communication, collaboration and influencing skills. The role also requires a business-oriented approach, a superb legal mind and the ability to operate in a dynamic business and legal environment. Executive title and compensation package will be commensurate with candidate’s background, experience and capabilities.

Duties and Responsibilities:

Representing Incipio (and to the extend applicable its subsidiaries) as in-house legal counsel
Negotiating, documenting, and reviewing company merger and acquisitions, contracts, NDA’s, handouts, notices, policies, and other documents and responding to inquiries regarding same;
Attending to company intellectual property matters including trademark, copyright and/or patent matters;
Acting as the liaison between Incipio and other third-parties including, but not limited to, customers, outside vendors, partners, investors, accountants, consultants and counsels;
Handling and managing employee or third-party claims including litigation
Conducting analysis and research into a variety of relevant legal proceedings as they arise
Lead international legal and compliance initiatives, including corporate governance, compliance, employment and labor, and intellectual property matters.
Drive oversight of the intellectual property portfolio and maximize value from outside counsel through the product development process.
Provide guidance on matters related to corporate governance, securities law matters, corporate transactions including M&A, investments and debt financings, legal and regulatory compliance and investigations, and employment and related litigation matters.
Implement a contracts management process, including the evaluation of necessary technology and achieving appropriate levels of “buy-in” from business units, as supported by training.
Lead the timely update, development and implementation of legal corporate policies, best practices, procedures and trainings.
Act as a proactive business partner to senior leadership and build trusted advisor relationships in addition to influencing and collaborating effectively across all levels of the organization.
Exhibit deep knowledge of the Company’s business and the relevant legal issues.
Provide creative and practical legal advice and decision making acumen to achieve business objectives in compliance with applicable laws and in alignment with company’s ethics and values.
Demonstrate subject matter expertise in substantive legal areas managed, keep abreast of new developments and instill best practices.
Maintaining files for legal matters and other duties and responsibilities as assigned.
 

Education and Experience:

JD degree from a reputable ABA accredited university and member in good standing of the California Bar.
7+ years’ of sophisticated legal practice with extensive knowledge and expertise both hands-on and overseeing matters involving corporate governance, M&A and corporate financial transactions, legal and regulatory compliance and investigations, employment, real estate, commercial, IP and litigation matters.
Formative training with a top-tier law firm.
Extensive experience working closely with senior management and boards.
Superior business, financial, and technology acumen.
Exceptional written, oral and interpersonal communication skills, capable of quickly gaining the respect of and interacting comfortably with and successfully influencing senior leaders.
Collaborative team-player who listens well and thrives on finding creative and practical solutions in a dynamic work environment.
Ability to work and lead under pressure unruffled, exhibiting timely decision making, and with a sense of humor and balance.
Ability to handle ambiguity, juggle multiple matters at once, and quickly and seamlessly shift from one situation or task to another.
