Provide legal, regulatory and policy advice to senior management, bankers, traders, salespersons and control functions on matters related to the North American Commodity business.  Subject matter includes banking and swap dealer regulation, derivatives, private equity investments, renewable energy, electricity, natural gas, energy outsourcing, capital, facilities management, distributed generation, securities law, broker-dealer regulation, and capital regulations.

•     Review, draft and negotiate various agreements including loan agreements, engagement letters, vendor agreements, joint venture agreements, ISDA documentation (including industry forms and protocol documents), master netting, EEI, WSPP, and other power and gas agreements, among others.

•     Interact with regulators such as the OCC, FERC, CFTC, and NFA in the context of ordinary course examinations, periodic market updates, enforcement actions and regulatory filings.

•     Work closely with other Control Functions to ensure compliance by the Commodity business with applicable laws, regulations and policies/procedures, including through periodic reviews of such laws and regulations, serve as Legal representative on the New Products Approval Committee, and addressing non-compliance or enforcement matters.

•     Work with regulatory and litigation teams on various governmental and internal investigations and responses to governmental inquiries.

•     Work with the business and litigation to resolve disputes related to the commodity business

•     Serve as Citi representative on the EEI contracts Committee and participating in industry working groups and conferences.

•     Work collaboratively with Citi Commodity teams, including legal support, in Belfast, London and Singapore.

•     Serve as manager to a team of three attorneys, three paralegals and an administrative assistant.

•     Work on non-commodity projects such as Dodd-Frank implementation, QFC Stay Protocol and Resolution Planning.

Qualifications

  • Candidate should have a JD and at least 10-15 years of experience as an attorney working in or with the financial services industry.  Work experience should include several years spent at a reputable law firm, ideally with commodity transactional experience.  At least ten (10) years working in the commodities industry, either as outside or in-house counsel.  Knowledge of bank and broker-dealer regulations is critical.  Familiarity with derivatives is a plus.
  • Skills and Competencies:  Strong communications and presentation skills, ability to manage a team of lawyers and paralegals, confidence when dealing with senior managers and control functions, and strong legal and analytical skills.
  • Bachelors and JD.  Bar Admission in New York/Texas.
