Reporting to the President, the General Counsel will lead the legal function company-wide and be a key member of tZERO’s executive team. The GC will help tZero grow and expand worldwide, work closely with the business, assist with capital raising and M&A, and help tZERO effectively manage risk, compliance and other legal responsibilities.

The General Counsel will have 8+ years of legal experience, both in-house and in private practice, and will be a team-oriented individual who collaborates well with his/her business partners in order to provide assistance to the business, solutions to legal issues and to develop risk management strategies as appropriate. 
The General Counsel will handle a wide variety of responsibilities, including leading and managing the corporate governance and regulatory compliance functions, overseeing merger, acquisition and other strategic activity, and advising the board and the C-Suite on corporate governance matters. 
In addition, the ideal candidate will have the broad experience required of a General Counsel, including raising debt and equity, corporate structuring as pertains to tZERO’s parent company and tZERO’s subsidiaries, finance, litigation supervision, FINRA and other regulatory compliance, intellectual property (patent, product infringement, trademark and copyright), and marketing/advertising campaigns. Candidates from a technology background with some securities regulation experience will be particularly attractive.
 

In addition to being an integral part of tZERO’s executive team, the General Counsel will be responsible for leading, managing and guiding the Company’s in-house legal and regulatory compliance teams with an aim towards fully maximizing their performance and capabilities, resulting in the continued growth and development of each member of the team.

Qualifications & Skills

1-     Must understand corporate governance and structure

2-     Must have merger and acquisition experience

3-     Experience drafting contracts of all types

Other Qualifications & Skills

J.D. from an accredited law school and an excellent academic background.
At least 8 years of legal experience, preferably gained at a top tier law firm and in a corporate in-house legal setting.
Experience handling technology matters.
Experience handling all manner of complex business transactions.
Experience working with Boards of Directors, including advising on various issues, such as strategic transactions, fiduciary duties, and corporate governance.
Strong background and understanding of ethics and compliance issues and their impact on a global company.
Experience handling litigation management and enterprise risk management.
Outstanding executive leadership and management skills in all aspects of a legal and business environment with a proven ability to advise a successful, growing company.
Ability to think creatively yet be on the safe side of the law.
Inspirational leader who has demonstrated experience building strong teams and a proven record of talent development.
Unquestioned integrity, credibility and judgment.
Ability to work collaboratively and as a member of a team while empowering business leaders and colleagues and emphasizing accountability.
