The General Counsel serves the Company (including its subsidiaries and affiliates) as in-house counsel and is responsible for providing professional legal advice and representation for complicated legal issues throughout the organization and specifically to the Chief Executive Officer, the Board of Directors, and the Senior Management Team.

A trusted and valued member of the CFO Team, the General Counsel will be fully involved in the business, advising the CFO in a way that transcends the role typically played by an attorney.

Key Accountabilities & Responsibilities

Oversee all matters of legal significance to the organization including, corporate governance, risk management, and legal compliance in respect to the company's expansion and M&A activity, labeling, employee safety, and consumer protection.
As corporate secretary, will conduct and document quarterly board meetings.
Have a thorough knowledge of all aspects of the company's businesses and all legal documents pertaining to the businesses.
Maintain all corporate records, including, but not limited to organizational documents, minutes of meetings, resolutions, stock ledgers, closing binders and other business records.
Manage all local, state and federal filings; including licensing forms, required to maintain the legal good standing in the areas in which the company operates.
Create and set up new entities.
Provide legal advice and assistance to other department.
Perform legal research, prepare and render legal opinions.
Review and draft agreements and other documents as directed including employment, vendor, private label, IT, finance, real estate.
Review existing policies and develop new policies pertaining to legal matters.
Manage outside counsel and provide general oversight and organization of their assignments and budget.
Keep abreast of standard practices and trends affecting the company's industries.
Advise the organization about government regulations and legal rights.
Manage the intellectual property, including trademark, trade dress, and copyrights of the organization.
Examine company's litigation strategy to determine the advisability of prosecuting or defending lawsuits or other legal actions.
Establish and promulgate legal directives with respect to corporate activities.
Participate in executive management meetings and present reports and recommendations regarding legal matters.
Manage governmental and community affairs by building strong ties to local elected officials and key community stakeholders
Manage the legal issues and regulatory compliance required as a result of any facility relocations.
